Who Fixes Your MES When the Smart Factory Supplier Closes? — 2026 Audit Survey Shows 32% of Adopters Switched Maintenance Vendors and 28.6% Lost Track of Their Supplier: An SME Checklist on Source Code Escrow, Maintenance Contracts and Data Export Rights

A 2026 audit survey found 32.4% of smart factory adopters had switched maintenance vendors and 28.6% didn't know whether their supplier was still operating or had lost contact. Here's how SMEs can prepare with source code escrow, seven contract clauses and in-house capability.

What the Audit Revealed — The System Is Built, but No One Can Fix It

A lawmaker's survey released during Korea's 2026 National Assembly audit (September 19–23, 105 SME manufacturers) puts numbers on what happens after a smart factory goes live.

  • 34 companies (32.4%) now rely on a maintenance vendor other than the supplier that built their system
  • 22 don't know whether their supplier is still in business, and 8 report it has closed or gone silent — 30 companies (28.6%) in total
  • 42.9% have no dedicated staff for the solution or assign it as a side duty; among firms with fewer than 50 employees, the figure is 68.4%
  • A government-run "manual library" that would store maintenance materials has been proposed, but it remains a proposal, not an established program. This exposes a contradiction: grant recipients must keep their systems running throughout the five-year follow-up period, yet when the supplier disappears, so do the means to meet that obligation.

What Actually Stops When a Supplier Disappears

  • Customizations freeze: You can no longer edit MES screens or reports, or adapt interfaces when PLCs or sensors are replaced
  • Ownership traps: If license servers, cloud accounts or domains are registered to the supplier, you can lose access entirely
  • Effectively a rebuild: Without the DB schema and interface specifications, a new vendor will quote a rebuild, not maintenance
  • Inspection risk: Follow-up inspections may treat the system as not in operation. Check the current year's detailed management guidelines for the exact criteria
  • Safeguard 1 — Escrow Your Source Code and Technical Materials

With escrow, the source code is deposited with a third party and released to you if agreed conditions occur. The main options in Korea are the technology escrow service of the Foundation for Cooperation between Large and Small Enterprises and the software escrow service of the Korea Copyright Commission. Escrow only works if the contract spells out the release triggers (bankruptcy, closure, discontinued maintenance and so on).

At the regional level, Gyeongsangnam-do launched a "Smart Factory Solution Bank" with the Korea Copyright Commission in 2019. It stores source programs for a set period, makes them available for maintenance if a supplier closes or changes business, and included support for escrow fees. Check current terms with the provincial government.

  • Scope: Source code alone isn't enough. Include the build environment, DB schema, interface specifications and operations manuals
  • Negotiation points: Agree on who pays the escrow fees and how often the deposit is updated as new versions ship
  • Safeguard 2 — Seven Clauses Your Contract Needs

  • Maintenance term and SLA (incident response times), kept separate from the free warranty period
  • Succession and release if the supplier closes or is acquired
  • Data ownership and export rights in standard formats (CSV, DB dumps, APIs)
  • Accounts, licenses and domains registered to your company
  • A list of deliverables (design documents, specifications, manuals) tied to acceptance
  • Permission for third-party maintenance, so you aren't locked in to one vendor
  • A cap on maintenance price increases
  • Safeguard 3 — Internal Capability and Fallback Paths

  • Firms under 50 employees: If a dedicated hire isn't realistic, name one person to own the system part-time and have them trained on the operations manual
  • Vet suppliers up front: Review supplier capability assessment results along with financial health and years in business
  • Choose a replaceable design: Solutions built on standard interfaces such as OPC UA and standard data models are cheaper to reconnect when a vendor changes
  • What to Do Before the 2027 Integrated Notice

If you already have a system, confirm your supplier's business status, check that you hold the deliverables and that accounts are in your name, and pursue an escrow agreement now. If you plan to apply, build maintenance, escrow and data-export terms into quotations and agreements when you select a supplier, ahead of the integrated notice expected around November.

KITIM reviews supplier contracts, assesses readiness for follow-up inspections and supports smart factory grant applications. Make sure the system you build today is still running five years from now, starting with the contract. Contact KITIM through our inquiry page to arrange a consultation.
